Terms of Service

By downloading, installing, accessing, or using the Wogul desktop application or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Wogul (“we,” “us,” or “our”). We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Wogul is a desktop application that allows futures traders to copy trades between multiple brokerage accounts. The Service connects to supported trading platforms (currently Tradovate and TopstepX), monitors positions and orders on designated leader accounts, and replicates those trades on designated follower accounts in real-time.

Wogul is a software tool. It does not execute trades on its own initiative. All trading activity originates from your manual actions on a leader account. The Service simply mirrors those actions to your other accounts based on rules you configure.

The Service runs locally on your computer. Your brokerage credentials are stored encrypted on your device and are never transmitted to our servers.

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into a binding agreement.

You must maintain valid accounts on the supported trading platforms you wish to connect. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and the terms of service of any connected brokerage or prop firm.

To use the Service, you must create an account through our authentication provider (Clerk). You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

Each account is for a single individual. You may not share your account with others or create multiple accounts to circumvent restrictions or billing obligations.

The Service is offered on a monthly subscription basis at $28.00 per month. All features are included in a single plan with no tiers or usage limits on the number of connected accounts.

Free Trial. New accounts receive a 7-day free trial with full access to all features. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

Billing. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current.

Cancellation. You may cancel your subscription at any time from your account dashboard or through the Stripe customer portal. Upon cancellation, you will retain access to the Service until the end of your current billing period. No partial refunds are issued for unused time within a billing cycle.

Price Changes.We reserve the right to change subscription pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Failed Payments. If a payment fails, we may attempt to charge your payment method again. If payment cannot be collected after reasonable attempts, your access to the Service may be suspended until the outstanding balance is resolved.

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Wogul desktop application on devices you own or control for your personal or internal business use.

You may not:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service or any part thereof
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
• Use the Service to build a competing product or service
• Circumvent, disable, or interfere with security features of the Service, including license verification
• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Share, resell, or redistribute your account access to third parties

The Service is a software tool, not a financial advisory service. Nothing in the Service, on our website, or in any related communications constitutes investment advice, financial advice, trading advice, or any other form of professional advice.

We do not recommend any specific trades, strategies, securities, or investment products. We do not act as a broker, dealer, investment advisor, or fiduciary. No fiduciary relationship is created between you and Wogul by your use of the Service.

You acknowledge that all trading decisions are made solely by you, and you are fully responsible for the consequences of those decisions. You should consult with a qualified financial professional before making any investment decisions.

You acknowledge and agree that:

• You are solely responsible for all trades executed through or replicated by the Service on your accounts
• You will monitor your accounts and copy rules regularly to ensure they are functioning as intended
• You understand the risks of automated trade copying, including latency, partial fills, slippage, and connection interruptions
• You will configure appropriate risk management settings (such as position size limits and maximum loss thresholds) for your copy rules
• You are responsible for maintaining a stable internet connection and keeping the application running while copy rules are active
• You will comply with the terms of service and rules of all connected brokerages and prop firms
• You will not use the Service to engage in market manipulation, wash trading, or any other prohibited trading practice
• You are responsible for any tax obligations arising from your trading activity

You may not use the Service to:

• Violate any applicable law, regulation, or rule of any regulatory body (including but not limited to the CFTC, NFA, or equivalent authorities in your jurisdiction)
• Engage in market manipulation, spoofing, layering, or wash trading
• Interfere with or disrupt the integrity of any connected trading platform
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent or attempt to circumvent license verification, subscription requirements, or other security measures
• Use the Service on behalf of third parties without authorization or operate it as a managed trading service for others

The Service, including all software, code, design, graphics, logos, trade names, and documentation, is the exclusive property of Wogul and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a license to use the Service; it does not transfer any ownership rights. All rights not expressly granted in these Terms are reserved by Wogul.

The Service integrates with third-party platforms and services, including but not limited to:

• Tradovate and TopstepX — brokerage and prop firm platforms for trade execution
• Clerk — authentication and account management
• Stripe — payment processing and subscription management
• Sentry — error monitoring and crash reporting (with privacy-preserving data masking)

We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party platforms is governed by their respective terms and policies. We do not guarantee uninterrupted connectivity to any third-party API.

If a third-party platform modifies its API, experiences downtime, or changes its terms in a way that affects the Service, we will make reasonable efforts to adapt but are not liable for any resulting disruption or loss.

We strive to provide a reliable and consistent Service, but we do not guarantee 100% uptime or uninterrupted operation. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance and updates
• Third-party platform outages or API changes
• Internet connectivity issues on your end
• Force majeure events beyond our reasonable control

You acknowledge that trade copying depends on real-time connectivity and that latency, network interruptions, or system errors may result in trades not being copied, being copied partially, or being copied at different prices than the leader account. We are not liable for any losses resulting from such occurrences.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT TRADES WILL BE COPIED ACCURATELY, COMPLETELY, OR IN A TIMELY MANNER. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WOGUL OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WOGUL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

WITHOUT LIMITING THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

YOU SPECIFICALLY ACKNOWLEDGE THAT WOGUL SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INCLUDING LOSSES RESULTING FROM FAILED TRADE COPIES, DELAYED EXECUTIONS, INCORRECT POSITION SIZES, SLIPPAGE, SYSTEM ERRORS, OR ANY OTHER MALFUNCTION OF THE SERVICE.

You agree to indemnify, defend, and hold harmless Wogul and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your trading activity and any resulting losses
• Your violation of any applicable law, regulation, or third-party rights
• Any dispute between you and a brokerage, prop firm, or other third party

By You. You may terminate your account at any time by canceling your subscription and uninstalling the application.

By Us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms, engaged in prohibited activity, or pose a risk to the Service or other users.

Upon termination, your license to use the Service is immediately revoked. We are not obligated to retain any of your data after termination. Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 14, 15, 16, and 19) will survive.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

We reserve the right to modify these Terms at any time. Material changes will be communicated via the email address associated with your account or through a notice within the Service at least 30 days before they take effect.

Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wogul regarding the Service and supersede all prior agreements and understandings, whether written or oral.
